The non-exercise or delay in exercising any right or obligation under this Agreement shall not prevent the parties from exercising such right or requiring performance of such obligation in the future, nor shall the waiver of a breach of this Agreement be considered as a waiver of any subsequent breach. Neither party’s failure to exercise any right or power under this Agreement shall be construed as a waiver of such right or power, and any exercise of any right or power shall not prevent the further exercise of that or any other right granted under this Agreement. If any terms in this Agreement conflict with any other applicable terms, the terms of this Agreement shall prevail..

Amendments to this Agreement

The Peace Lab retains the right to modify or replace this Agreement at its sole discretion, without the need for your explicit consent or agreement. If we make any substantial changes to this Agreement, we will provide a notice of at least 30 days before the new terms take effect. We reserve the right to determine what constitutes a material change at our sole discretion.

By continuing to access or use our website after any revisions become effective, you accept and agree to be bound by the revised terms of this Agreement. If you do not agree to the new terms, you are no longer authorized to use The Peace Lab.

Entire Agreement

Agreement to Arbitrate

This section pertains to all disputes, with the exception of disputes related to claims for injunctive or equitable relief concerning the enforcement or validity of The Peace Lab’s or your intellectual property rights. The term “dispute” is defined as any conflict, action, or controversy between you and The Peace Lab that involves the Services or this agreement, regardless of whether it arises from contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. The term “dispute” shall be given the broadest possible meaning permitted by law.

Notice of Dispute

If a dispute arises between you and The Peace Lab regarding the Services or this agreement, the party initiating the dispute must provide a Notice of Dispute in writing, which includes the name, address, and contact information of the party initiating the dispute, the facts underlying the dispute, and the requested relief. The Notice of Dispute must be sent via email to hello@thepeacelab.com. The Peace Lab will provide any Notice of Dispute to you by mail if your address is on record, or by email otherwise. The parties must engage in informal negotiations within sixty (60) days from the date the Notice of Dispute is sent to attempt to resolve the dispute. If the dispute is not resolved after sixty (60) days, either party may initiate arbitration.

Binding Arbitration

If informal negotiation between you and The Peace Lab does not lead to a resolution of a dispute, any further attempts to resolve the dispute will be carried out through binding arbitration as outlined in this section. By agreeing to this clause, you are waiving your right to litigate or participate in any legal proceedings related to the dispute in court before a judge or jury. The arbitration will be conducted in accordance with the commercial arbitration rules of the American Arbitration Association, and the decision made by the arbitrator will be final and binding.

However, either party may seek interim or preliminary injunctive relief from a court of competent jurisdiction to safeguard their rights or property during the arbitration process. The prevailing party in the arbitration will be entitled to recover all costs, fees, and expenses, including legal and accounting fees, incurred as a result of the arbitration, from the non-prevailing party.

Submissions and Privacy

If you share any ideas, suggestions, designs, photographs, information, advertisements, data, or proposals with The Peace Lab through the website or any other means, you agree that such submissions will not be considered confidential or proprietary.
